Oracle Acquires Stellent - More ECM Consolidation

Yesterday, Oracle agreed to purchase Stellent, a top tier ECM provider, for approximately $442.49 million, or 2.6x and 28.9x revenue and EBITDA, respectively. The transaction fills a hole in their content management strategy and strengthens their data management product portfolio.

With the recent acquisitions of FileNet by IBM and Hummingbird by Open Text, the number of the large firms in the ECM landscape is beginning to dwindle. There remains only a few vendors with scale, including Interwoven, Vignette, Mobius and privately held Hyland Software. According to Gartner’s most recent ECM market share survey, the top six vendors now control almost 70% of the market, up from near 60% at the end of 2005.

Our opinion is that market consolidation will continue. Targets at the higher end of the market continue to disappear, but the recent rash of deals will continue to pressure smaller firms to consider partnering or make their own acquisitions to help maintain their presence in the market. There is also the potential of seeing some bigger deals from the likes of SAP and Open Text as they try to keep up with IBM and Oracle.

Convergence of BI and BPM

This is an important topic that we discussed in our BPM software report. The relationship between process management and BI analytics has drawn vendors in the both markets to develop stronger partnerships over the past few years. Companies have established OEM relationships, including Lombardi and Cognos and Metastorm and Hyperion. Others, including Ultimus and Savvion, have established technology relationships with other BI leaders such as Business Objects.

There has been some consolidation within the BPM space, including some high profile deals, IBM’s purchase of FileNet and BEA’s acquisition of Fuego. We expect there to be significantly more over the next two years. The relationships between BI and BPM vendors should play an important role in this upcoming consolidation.

A recent piece by Connie Moore, a Forrester analyst, gives a bit more color to convergence trends - In their opinion, BI/BPM convergence will lead to more deals within the space (story link - care of BPM.com).
